Related-party conflict disclosed — Advisor subordinated participation interest in Operating Partnership
MediumThe Advisor (or its Affiliates) has been granted a subordinated participation interest in the Operating Partnership in connection with its $2,000 capital contribution. The Advisor also made an initial $200,000 investment in the Corporation. These arrangements create economic conflicts of interest between the Advisor and common stockholders.
“The Advisor or its Affiliates have made an Initial Investment of (a) $200,000 in the Corporation and (b) $2,000 in the Operating Partnership. The Advisor or any such Affiliate may not sell the Initial Investment while the Advisor or its Affiliate remains a Sponsor but may transfer the Initial Investment to other Affiliates. The Advisor has been granted a subordinated participation interest in the Operating Partnership in connection with its capital contribution to the Operating Partnership.”
